Webmaster Terms and Conditions

1. Introduction

This Agreement outlines the terms and conditions under which the Service Provider will provide website maintenance services to the Client. These services are detailed below and are aimed at ensuring the continuous and effective operation of the Client’s website.

2. Service Details

The Service Provider will provide the following services:

  • – Plugin Updates
  • – Security Updates
  • – Daily Backups
  • – Bug Fixes
  • – Fix Broken Links
  • – 1 Hour of Design Work a month ($70/hour after 1 hour)
  • – Use of Page Builder software
  • – User Management
  • – On-Call Support (M-W 10:00 AM EST – 10:00 PM EST/Thursday 5:00 PM EST – 10:00 PM EST/Friday 10:00 AM EST – 3:00 PM EST)
  • – Weekend/Emergency On-Call Support (Sat-Sun 11:00 AM EST – 2:00 PM EST) – $45/hour minimum charge
  • – Use of Adobe Fonts Library

The following services are specifically excluded from the package:

  • – New Pages and Templates
  • – New Sections on existing pages unless inside the 1 hour design allotted per month
  • – No Content Creation or Copywriting
  • – No Graphic Design outside of Website Design
  • – No Search Engine Optimization (SEO) Services
  • – No Social Media Management
  • – No Digital Marketing
  • – No New Systems (ie. E-Commerce Shops, Booking Systems, Event Calendars, Video Playlists, etc.)

Response Time: Response to problems within 48 hours maximum.

3. Client Information

The Client is categorized as a ‘Webmaster Service Package Client’. Clients must provide access to all website-related systems including hosting servers. All images provided by the clients must be licensed or Royalty Free.

4. Payment Terms

The fee for the monthly maintenance package is $75, due on the 1st of each month via recurring Freshbooks invoice. Late fees are charged at 10% after 15 days of due date. Rejected Payments will incur a $40 charge. Service will be suspended if payment is not received within 30 days of the due date.

5. Term and Termination

The term of this Agreement is from Feb 1, 2024 to Dec 31, 2024. The contract will renew automatically unless a 20-day written notice is provided by either party before the due date. The first payment made in January 2025 will mark the beginning of the new contract term. There are no fees for early termination.

6. Liability and Indemnification

The Service Provider’s liability is limited as described in this Agreement. The Client agrees to indemnify and hold the Service Provider harmless from any claims, damages, or expenses arising from the Client’s provision of copyrighted materials for use on the website.

7. Confidentiality

Both the Service Provider and the Client agree not to disclose any trade secrets or other confidential information acquired during the term of this Agreement.

8. Dispute Resolution

Any disputes arising under this Agreement will be resolved through arbitration in the State of Pennsylvania, in accordance with the rules of the American Arbitration Association.

9. Miscellaneous

A ticket system will be launched in 2024. Clients are expected to submit trouble tickets for new issues or requests through this system.
